These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ScoreWise AI (“Company,” “we,” “us,” or “our”) governing your access to and use of the ScoreWise AI platform, website located at www.scorewise-ai.com (the “Site”), and all related services, features, content, and applications (collectively, the “Service”). By accessing or using the Service in any manner, you agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Service.

1. Acceptance of Terms

By creating an account, clicking “I Agree,” accessing the Service, or using any portion of the Site, you affirm that: (a) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference; (b) you have the legal authority to enter into this agreement on behalf of yourself and, if applicable, your institution or employer; and (c) your use of the Service complies with all applicable laws and regulations.

These Terms apply to all users of the Service, including visitors, registered users, subscribers, and administrators. If you are using the Service on behalf of an educational institution, school district, college, university, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” will refer to both you individually and that organization.

2. Eligibility and Account Registration

2.1 Age Requirements.

The Service is intended for users who are at least 13 years of age. Users between the ages of 13 and 17 must have parental or guardian consent. Users under 13 are not permitted to create accounts directly; see Section 12 (COPPA) for further detail regarding minors.

2.2 Educator Use.

The Service is designed primarily for use by educators, instructors, professors, school administrators, and other educational professionals. Use of the Service to grade or evaluate student work on behalf of a minor student must be conducted in accordance with applicable law, including FERPA and COPPA as described in Sections 11 and 12.

2.3 Account Credentials.

You are solely responsible for maintaining the confidentiality of your account login credentials. You agree to notify us immediately at support@scorewise-ai.com if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

2.4 Accurate Information.

You agree to provide accurate, current, and complete information when registering for an account and to keep such information updated. Providing false, misleading, or incomplete information may result in immediate account suspension or termination.

2.5 One Account Per User.

Unless expressly authorized in writing by ScoreWise AI, each individual may maintain only one active account. Creating multiple accounts to circumvent usage limits, free trial restrictions, or plan limitations is prohibited.

3. Description of the Service

ScoreWise AI provides an AI-assisted assignment grading platform that enables educators to upload student submissions and scoring rubrics, receive AI-generated scoring and written feedback drafts, review and edit all AI-generated content, and export personalized feedback reports. The specific features available to you depend on your subscription plan.

The Service is a productivity and workflow tool. All AI-generated scores, comments, and feedback are draft suggestions only. The educator is solely responsible for reviewing, editing, approving, and finalizing all grades and feedback before they are communicated to any student. The Service does not make final grading decisions; that responsibility remains exclusively with the educator.

4. License to Use the Service

4.1 Grant of License.

Subject to your compliance with these Terms and payment of applicable subscription fees, ScoreWise AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your lawful, internal educational or professional purposes during the term of your subscription.

4.2 Restrictions.

You may not:

  • Copy, modify, distribute, sell, resell, sublicense, or transfer the Service or any portion thereof;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Use the Service to build a competing product or service;
  • Remove or alter any proprietary notices or labels;
  • Use automated means (bots, scrapers, crawlers) to access the Service in a manner that exceeds ordinary usage; or
  • Access the Service through any interface other than those provided by ScoreWise AI, except through the authorized external API on qualifying plans.

4.3 No Ownership Transfer.

Nothing in these Terms transfers to you any ownership interest in the Service, our software, or our intellectual property. You receive only the limited license described above.

5. Subscription Plans, Fees, and Billing

5.1 Plans and Pricing.

ScoreWise AI offers multiple subscription tiers, the current details of which are available at www.scorewise-ai.com/pricing. Pricing, assignment limits, and feature access are subject to change in accordance with Section 21.

5.2 Billing.

All subscription fees are billed through our third-party payment processor, Stripe, Inc. By providing payment information, you authorize ScoreWise AI and Stripe to charge your designated payment method on the billing schedule applicable to your plan (monthly or annual). You represent that you are authorized to use the payment method provided.

5.3 Auto-Renewal.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date through the self-serve billing portal. Continued use of the Service after a renewal date constitutes acceptance of the renewed subscription.

5.4 Price Changes.

We reserve the right to change subscription pricing at any time. We will provide you with at least 30 days’ advance notice of any price change via email or in-app notice. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new price.

5.5 Taxes.

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such taxes associated with your use of the Service.

5.6 Failed Payments.

If your payment fails, we reserve the right to suspend or downgrade your account until payment is successfully collected. We may retry failed charges automatically.

5.7 No Refunds.

Except as expressly provided in these Terms or required by applicable law, all fees are non-refundable. Unused assignment credits within a billing period do not carry over to the next period and are forfeited upon plan cancellation or downgrade.

6. Free Trial Terms

6.1 Free Trial Offer.

ScoreWise AI may offer a free trial to new users, subject to the specific conditions displayed at the time of sign-up (which may include duration, assignment limits, and subject restrictions). Free trial terms are subject to change.

6.2 Conversion.

If you sign up for a paid plan with a free trial period, your payment method will be charged at the end of the trial period unless you cancel before the trial ends. Cancellation instructions are available in your account settings.

6.3 One Trial Per User.

Free trials are available to new accounts only. Creating additional accounts to access multiple free trials is prohibited and constitutes a material breach of these Terms.

7. Overage Charges

If you exceed the monthly assignment limit associated with your subscription plan, overage charges will apply at the per-assignment rate then in effect for your plan tier. Overage charges are billed automatically and will appear on your next invoice. Overage rates are published at www.scorewise-ai.com/pricing and may be updated from time to time.

8. Cancellation and Termination

8.1 Cancellation by You.

You may cancel your subscription at any time through the self-serve billing portal accessible from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. No refunds are provided for partial billing periods.

8.2 Termination by ScoreWise AI.

We may suspend or terminate your account and access to the Service at any time, with or without notice, if:

  • you breach any provision of these Terms;
  • we are required to do so by law or court order;
  • we determine in our sole discretion that your use poses a risk to the Service, other users, or us; or
  • we discontinue the Service.

8.3 Effect of Termination.

Upon termination for any reason: (a) your license to use the Service immediately terminates; (b) you must cease all use of the Service; (c) accrued fees remain due and payable; and (d) we may delete your account data in accordance with our Privacy Policy and data retention schedule. Termination does not limit any other rights or remedies available to us.

8.4 Data Retrieval.

It is your responsibility to export any data, reports, or submissions you wish to retain before cancellation or termination. ScoreWise AI has no obligation to retain or provide access to your data following account closure.

9. User Responsibilities and Acceptable Use

You agree that you are solely responsible for: (a) all activity conducted through your account; (b) ensuring that your use of the Service complies with all applicable laws and regulations, including but not limited to FERPA, COPPA, and applicable state privacy laws; (c) obtaining all necessary consents, permissions, and authorizations before uploading student work or other third-party content; (d) the accuracy and completeness of all content you upload; and (e) all final grading decisions made using AI-generated output.

You agree to use the Service only for lawful educational and professional purposes and in compliance with these Terms.

10. Prohibited Conduct

You agree that you will not use the Service to:

  1. Upload, process, or distribute content that is unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable;
  2. Violate any intellectual property rights of third parties, including uploading student work or third-party content without proper authorization;
  3. Circumvent, disable, or interfere with security features of the Service or attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems;
  4. Use the Service to engage in academic fraud, facilitate cheating, or assist students in misrepresenting their work;
  5. Upload malware, viruses, or any other harmful code;
  6. Impersonate any person or entity or falsely represent your affiliation with any person or entity;
  7. Harvest or collect email addresses, personal information, or other data about other users without their consent;
  8. Use the Service in a manner that could damage, disable, overburden, or impair our servers or networks;
  9. Resell, redistribute, or commercially exploit the Service or AI-generated outputs without our express written permission;
  10. Attempt to reverse engineer, extract, or reproduce the underlying AI models, prompts, or algorithms used by the Service;
  11. Use the Service to process or store protected health information (PHI) as defined by HIPAA, unless a separate Business Associate Agreement has been executed with ScoreWise AI; or
  12. Use the Service in any manner that violates the privacy rights of students or other individuals.

Violation of this Section may result in immediate account termination and may expose you to civil or criminal liability.

11. Student Data, Privacy, and FERPA

11.1 FERPA Applicability.

The Family Educational Rights and Privacy Act (20 U.S.C. § 1232g; 34 CFR Part 99) (“FERPA”) governs the privacy of student education records maintained by educational institutions receiving federal funding. When you upload student submissions to the Service, you (as the educator or institution) are responsible for ensuring that such disclosure complies with FERPA, including the applicable “school official” exception or other appropriate basis for disclosure.

11.2 School Official Exception.

To the extent ScoreWise AI receives personally identifiable information from education records, we operate as a “school official” under FERPA with a “legitimate educational interest” in performing services on your behalf. We agree to: (a) use education record data only for the purpose of providing the Service; (b) not disclose education record data to third parties without authorization; (c) not use student data to build profiles for advertising, marketing, or any non-educational purpose; and (d) maintain the confidentiality of education records consistent with FERPA requirements.

11.3 No Student Data for AI Training.

ScoreWise AI will not use student submissions, student-identifiable data, or education records to train, fine-tune, or improve any AI or machine learning model — ours or any third party’s — without your express written consent.

11.4 Data Minimization.

You are encouraged to minimize the personally identifiable information included in submissions. Where possible, submissions may be de-identified or anonymized before upload. The inclusion of student names, IDs, or other identifiers in uploaded files is at your discretion and risk.

11.5 Institutional Agreements.

Educational institutions seeking a Data Processing Addendum (DPA), FERPA compliance documentation, or a formal school official agreement should contact us at support@scorewise-ai.com.

12. Children Under 13 (COPPA)

ScoreWise AI does not knowingly collect personal information directly from children under the age of 13 through direct-to-consumer sign-up. The Service is not intended for direct use by children under 13 as account holders.

Where students under 13 are enrolled in a school or institution using the Service under the school consent exception to COPPA, the institution acts as the consent agent in accordance with FTC guidance. In such cases: (a) the institution is responsible for obtaining and maintaining appropriate parental or guardian consent; (b) student data is used solely for the educational purpose of grading; (c) no data from students under 13 is used for commercial profiling, advertising, or any purpose beyond delivering the Service; and (d) data is deleted upon the institution’s request or upon termination of the relationship.

If you believe we have inadvertently collected personal information from a child under 13 without appropriate consent, please contact us immediately at support@scorewise-ai.com and we will take prompt steps to delete such information.

13. Content You Submit — Ownership and License

13.1 Your Ownership.

You retain all ownership rights in the content you upload to the Service, including assignment files, rubrics, solution keys, and student submissions (“User Content”).

13.2 License to ScoreWise AI.

By uploading User Content, you grant ScoreWise AI a limited, non-exclusive, royalty-free license to access, process, store, and use such User Content solely to: (a) provide and operate the Service; (b) generate AI-assisted grading output at your direction; and (c) maintain, troubleshoot, and improve the reliability and performance of the Service, excluding any use of student-identifiable education records to train AI models, as described in Section 11.3.

13.3 Your Representations.

You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to upload User Content and grant the license above; (b) your User Content does not infringe any third-party intellectual property rights; and (c) your User Content does not violate any applicable law, including privacy laws.

13.4 AI-Generated Output Ownership.

Grading scores, comments, and feedback reports generated by the Service in response to your uploaded content (“Output”) are provided to you for your use, subject to these Terms. You may use Output for legitimate educational purposes. You may not resell, redistribute, or publish Output in a manner that implies it is independently created or that misrepresents its AI-assisted origin.

14. AI-Generated Output — Accuracy Disclaimer

THE SERVICE PROVIDES AI-ASSISTED GRADING TOOLS FOR PRODUCTIVITY AND WORKFLOW PURPOSES ONLY. ALL OUTPUT GENERATED BY THE SERVICE, INCLUDING SCORES, FEEDBACK, AND COMMENTS, ARE DRAFT SUGGESTIONS AND MAY CONTAIN ERRORS, INACCURACIES, OR OMISSIONS.

ScoreWise AI does not warrant that AI-generated output will be: (a) accurate, complete, or error-free; (b) consistent with any specific educational standards or outcomes; (c) appropriate for all student populations or subjects; or (d) free from bias.

The educator is solely and exclusively responsible for reviewing, correcting, approving, and communicating all final grades and feedback to students. No grade or feedback generated by the Service should be communicated to a student without human review by a qualified educator. ScoreWise AI expressly disclaims all liability arising from the use of AI-generated output without appropriate human review.

15. Intellectual Property Rights

15.1 ScoreWise AI IP.

The Service, including all software, code, algorithms, models, interfaces, designs, text, graphics, logos, and other content created by ScoreWise AI (collectively, “ScoreWise AI Content”), is owned by or licensed to ScoreWise AI and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret law. You may not copy, reproduce, distribute, modify, or create derivative works of any ScoreWise AI Content without our express written permission.

15.2 Trademarks.

“ScoreWise AI,” the ScoreWise AI logo, and all related product names, logos, and slogans are trademarks or service marks of ScoreWise AI. You may not use these marks without our prior written consent.

15.3 Feedback.

See Section 26.

16. Confidentiality

Each party may have access to information that is confidential to the other party (“Confidential Information”). Each party agrees to: (a) hold the other’s Confidential Information in strict confidence; (b) use Confidential Information only as necessary to perform obligations or exercise rights under these Terms; and (c) not disclose Confidential Information to third parties without the other party’s prior written consent, except as required by law. These obligations survive termination of these Terms for a period of five (5) years, except with respect to trade secrets, which shall be protected indefinitely.

17. Third-Party Services and Integrations

The Service integrates with third-party services including Stripe, Inc. (payment processing) and Perplexity AI (AI inference). Your use of third-party services through the Service is subject to those third parties’ terms of service and privacy policies. ScoreWise AI is not responsible for the acts or omissions of any third-party service provider. We reserve the right to change, suspend, or discontinue any third-party integration at any time without notice.

Any links to third-party websites on the Site are provided for your convenience only. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party website.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. SCOREWISE AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

  • (a) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
  • (b) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • (c) ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR QUALITY OF ANY AI-GENERATED OUTPUT, SCORE, FEEDBACK, OR GRADING RESULT; and
  • (d) ANY WARRANTY THAT THE SERVICE IS COMPLIANT WITH FERPA, COPPA, OR ANY OTHER LAW OR REGULATION AS APPLIED TO YOUR SPECIFIC USE CASE — COMPLIANCE OBLIGATIONS REMAIN WITH YOU AS THE EDUCATOR OR INSTITUTION.

Some jurisdictions do not allow the exclusion of certain implied warranties, in which case the above exclusions may not fully apply to you.

19. Limitation of Liability

19.1 Exclusion of Consequential Damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCOREWISE AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2 Cap on Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCOREWISE AI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL FEES PAID BY YOU TO SCOREWISE AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED DOLLARS (USD $100.00).

19.3 Basis of Bargain.

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN SCOREWISE AI AND YOU. SCOREWISE AI WOULD NOT BE ABLE TO PROVIDE THE SERVICE ON AN ECONOMICALLY FEASIBLE BASIS WITHOUT THESE LIMITATIONS.

19.4 Exclusions.

Nothing in this Section limits or excludes liability for: (a) death or personal injury caused by gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless ScoreWise AI and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your User Content, including any claim that your User Content infringes or misappropriates the rights of any third party; (c) your violation of any applicable law or regulation, including FERPA, COPPA, or any other student privacy law; (d) your failure to obtain required consents before uploading student data; (e) any grading decision, student communication, or educational outcome based on AI-generated output that you failed to review or approved in error; or (f) your negligence or willful misconduct.

ScoreWise AI reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You will cooperate with our defense of such claims.

21. Modifications to the Service and Terms

21.1 Service Changes.

ScoreWise AI reserves the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice. We are not liable to you for any modification, suspension, or discontinuation of the Service.

21.2 Terms Changes.

We may update these Terms from time to time. We will notify you of material changes by email to the address on file or by prominent notice on the Site at least 14 days before the changes take effect. If you continue to use the Service after the effective date of updated Terms, you accept and agree to the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

22. Dispute Resolution and Arbitration

22.1 Informal Resolution.

Before initiating any formal dispute proceeding, the parties agree to attempt to resolve disputes informally. You must contact us at support@scorewise-ai.com describing the nature of your dispute and your desired resolution. We will attempt to respond within 30 days. If the dispute is not resolved within 60 days, either party may proceed to arbitration.

22.2 Binding Arbitration.

Except as provided in Section 22.3, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted in Dubuque County, Iowa, or by telephone or videoconference. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

22.3 Exceptions.

Either party may bring individual claims in small claims court for disputes within the jurisdictional limits of such court. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

23. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SCOREWISE AI EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

If a court finds this waiver unenforceable, then Section 22.2 (Binding Arbitration) shall not apply to that claim, and such claim shall be resolved in court as provided in Section 24.

24. Governing Law and Venue

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration under Section 22, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Dubuque County, Iowa. Each party waives any objection to such jurisdiction and venue.

25. Force Majeure

ScoreWise AI shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including without limitation: acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power failures, internet outages, third-party service failures, or acts of government. We will use commercially reasonable efforts to resume performance as quickly as practicable.

26. Feedback

If you provide suggestions, ideas, comments, or other feedback about the Service (“Feedback”), you grant ScoreWise AI a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, incorporate, and exploit such Feedback in any manner and for any purpose, without any obligation to compensate you or any third party. You represent that your Feedback does not contain confidential information of any third party.

27. Export Controls

You may not use, export, or re-export the Service in violation of any applicable export control laws or regulations, including those of the United States Export Administration Regulations (EAR) and the Office of Foreign Assets Control (OFAC). You represent that you are not located in a sanctioned country and are not a prohibited or restricted party under applicable export control regulations.

28. Electronic Communications and Notices

By using the Service, you consent to receive electronic communications from ScoreWise AI, including notices, agreements, disclosures, and other communications. These electronic communications satisfy any legal requirement that communications be in writing. You may opt out of non-essential marketing communications by following the unsubscribe instructions in such messages; transactional and legal notices cannot be opted out of while your account is active.

29. Miscellaneous

29.1 Entire Agreement.

These Terms, together with the Privacy Policy and any additional terms applicable to specific features (such as the External API Terms), constitute the entire agreement between you and ScoreWise AI regarding the Service and supersede all prior negotiations, understandings, or agreements.

29.2 Severability.

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

29.3 Waiver.

Failure by ScoreWise AI to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision or any other provision in the future.

29.4 Assignment.

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. ScoreWise AI may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets. These Terms bind and inure to the benefit of the parties’ permitted successors and assigns.

29.5 No Third-Party Beneficiaries.

These Terms do not create any third-party beneficiary rights.

29.6 Headings.

Section headings are for convenience only and shall not affect the interpretation of these Terms.

29.7 Language.

These Terms are in English. Any translation is provided for convenience only; in the event of conflict, the English version governs.
